1. Agreement to these terms
These Terms of Service ("Terms") are a binding agreement between you and FlipRed ("FlipRed," "we," "us," or "our") governing your access to and use of the FlipRed platform, websites, and related services (the "Service"). By accessing or using the Service, or by clicking to accept, you agree to these Terms.
If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and "you" means that organization.
2. The Service
FlipRed provides AI-assisted tools for political and advocacy organizations, including message drafting, voter modeling and microtargeting, audience segmentation, simulated research, and related analytics. The Service is intended for professional use by authorized campaigns, committees, organizations, and their staff and vendors.
3. Eligibility and lawful use
You must be at least 18 years old and able to form a binding contract. You may use the Service only for lawful purposes and only as permitted by these Terms and all applicable laws, including election, campaign-finance, telemarketing, e-mail, and data-protection laws such as the Telephone Consumer Protection Act, the CAN-SPAM Act, and applicable Federal Election Commission and state election rules. You are solely responsible for determining whether your use complies with the laws that apply to you.
4. Accounts and security
You are responsible for safeguarding your credentials and for all activity under your account, and you must notify us promptly of any unauthorized use. Accounts are for the registered organization and its authorized users; do not share credentials or permit access by unauthorized parties.
5. Acceptable use
You agree not to: (a) use the Service to send unlawful, deceptive, harassing, or fraudulent communications, or to suppress or interfere with any person's right to vote; (b) target or profile individuals in violation of applicable law; (c) submit data you do not have the right to use; (d) reverse engineer, decompile, scrape, or attempt to extract the Service's models, source code, or underlying data; (e) resell or provide the Service to third parties other than your authorized end clients; (f) interfere with or disrupt the integrity or performance of the Service; or (g) use the Service to build a competing product.
6. Your content and data
As between you and FlipRed, you retain all rights to the content, voter files, and other data you submit ("Customer Data"). You grant FlipRed a non-exclusive, worldwide license to host, process, and use Customer Data solely to provide, secure, and improve the Service and as described in our Privacy Policy.
You represent that you have all rights and permissions necessary to submit Customer Data and to authorize this processing, and that your use of Customer Data and of any output complies with applicable law, including any legally required disclaimers, such as "paid for by" attributions.
7. AI-generated output
The Service uses artificial intelligence to generate drafts, scores, predictions, and other output. Output may be inaccurate or incomplete and is provided to assist you, not to replace your judgment. You are responsible for reviewing, editing, and approving all output before you use, publish, or send it, and for ensuring it is accurate, lawful, and properly attributed. FlipRed does not guarantee any particular result, including any electoral, fundraising, or persuasion outcome.
8. Fees
If you purchase a paid subscription or usage-based plan, you agree to pay all applicable fees as described in your order or plan. Fees are non-refundable except as required by law or expressly stated, and we may change fees on prospective notice.
9. Intellectual property
The Service, including its software, models, designs, and content (but excluding Customer Data), is owned by FlipRed and its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription, subject to these Terms. We may use aggregated or de-identified data that does not identify you or any individual to operate and improve the Service.
10. Confidentiality
Each party may receive confidential information of the other. The receiving party will protect it with reasonable care and use it only to perform under these Terms, except for information that is public, independently developed, or required to be disclosed by law.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FlipRed does not provide legal, compliance, or election-law advice, and nothing in the Service is a substitute for advice from qualified counsel.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLIPRED WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUES, OR DATA. FLIPRED'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnification
You will indemnify and hold FlipRed harmless from claims, damages, and expenses (including reasonable attorneys' fees) arising from your Customer Data, your use of the Service, your communications or output, or your violation of these Terms or applicable law.
14. Term and termination
These Terms apply while you use the Service. You may stop using the Service at any time, and we may suspend or terminate access if you violate these Terms or as needed to protect the Service or comply with law. Provisions that by their nature should survive termination, such as ownership, disclaimers, limitation of liability, and indemnification, will survive.
15. Changes to these terms
We may update these Terms from time to time. Material changes will be posted here with an updated date, and your continued use of the Service after changes take effect constitutes acceptance.
16. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules, and the state and federal courts located in Delaware will have exclusive jurisdiction. Either party may still seek injunctive relief in any court of competent jurisdiction.
